These Terms of Use ("Terms") govern your access to and use of the orbitqops.in website, marketing materials, demonstration units, and any related services (collectively, the "Service") made available by Palm Technologies Private Limited ("Palm Technologies", "we", "us", or "our"). By accessing the Service you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old and legally able to enter into binding contracts in the jurisdiction in which you reside. If you are accessing the Service on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.
2. Permitted Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the Service for lawful, internal, evaluative and commercial-research purposes.
3. Prohibited Activities
You agree not to:
- Reverse engineer, disassemble, decompile, or attempt to derive source code or hardware design from any OrbitQops product or demonstration material, except to the limited extent permitted by mandatory law.
- Use the Service to develop a competing product, copy our branding, or misrepresent any affiliation.
- Probe, scan, or test the vulnerability of the Service, or attempt to bypass security or authentication.
- Interfere with the integrity or performance of the Service or its data.
- Use the Service in violation of any applicable export, sanction, defence, or anti-corruption law.
4. Intellectual Property
OrbitQops™, the OrbitQops logo, and all related product names (including OrbitQops LITE™, OrbitQops PRO™, QOPS-R™, QOPS-D™, QOPS-E™, QOPS-S™, QOPS-N™ and QOPS-I™) are trademarks of Palm Technologies Private Limited. All copyrights, designs, layouts, drawings, and content on the Service are owned by or licensed to Palm Technologies. No rights are granted except as expressly stated in these Terms.
5. Patent Pending
OrbitQops technology is the subject of a pending patent application in India. See the Patent Notice for details.
6. Confidentiality
Information shared with you under a separate non-disclosure agreement, technical evaluation agreement, or commercial agreement remains confidential under the terms of that agreement. The marketing content on the Service is non-confidential.
7. No Warranty
The Service is provided "as is" and "as available". To the maximum extent permitted by law, Palm Technologies disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Statements about future product capabilities are forward-looking and not commitments.
8. Limitation of Liability
To the maximum extent permitted by law, Palm Technologies, its directors, employees, and agents shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. The total aggregate liability of Palm Technologies in respect of the Service is limited to INR 1,000.
9. Export and Sanctions
OrbitQops products may be subject to export-control and sanction regimes. You must not access or use the Service if doing so would violate any applicable export, sanction, defence, or trade-compliance law.
10. Indemnity
You agree to indemnify and hold harmless Palm Technologies from any claim arising out of your breach of these Terms, your violation of law, or your misuse of the Service.
11. Termination
We may suspend or terminate your access to the Service at any time, for any reason, without prior notice. Sections that by their nature should survive termination shall survive.
12. Governing Law
These Terms are governed by the laws of India. The courts at Pune, Maharashtra shall have exclusive jurisdiction, subject to any mandatory consumer-protection forum available to you under law.
13. Changes
We may amend these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance.
